GeoLiv’s investors are pre-qualified based on previous investment experience. They must qualify as an Accredited or Sophisticated Investor, as defined by the United States Securities and Exchange Commission.

The following criteria identify undervalued multifamily properties for acquisition, value optimization, management, and disposition.

Investment Opportunity

GeoLiv offers qualified investors an opportunity to diversify a portion of their assets into managed real estate investments as part of a group investment. This investment strategy has historically demonstrated attractive returns over time. It offers additional benefits such as capital preservation, quarterly preferred cash distributions to investors, and capital appreciation over the life of the investment.

Capital Structure

Typically investments get financed with 70% – 80% loans, with the remainder of the capital provided by investor capital. Investors become members of a specific LLC formed to acquire one or more properties. All GeoLiv’s LLCs engage in acquiring, improving, operating, and eventually selling multifamily real estate assets.

Partnership Organization

Each acquisition is acquired by a single purpose LLC. This structure enables us to protect individual assets by limiting exposure through the protections afforded to corporations. GeoLiv acts as the Manager of each LLC and has a vested interest in the corporation’s profitability. Because we use limited liability companies to structure our deals, investor liability is limited to their investment, and their outside assets are protected.

Sources of investor funds may come from savings, individual retirement accounts (IRAs or 401Ks), and conversion of securities. GeoLiv periodically offers opportunities that can qualify for 1031 exchanges, such as Tenant In Common ownership or Delaware Statutory Trusts.

Cash Flow Splits

GeoLiv pays investors a preferred rate of return, usually in the range of 6%-9%, depending on the property. The investors are paid first from cash flow generated from property operations; then the Manager (GeoLiv) and its associates are paid. We evaluate cash flow for distribution quarterly.

Disposition Splits

When an asset sells, usually in 3-7 years, the investors are paid their capital contributions first, as a return of capital. After a complete reconciliation, gains are split between the Investors and the Manager, as described in the Operating Agreement of the LLC. The target annualized return for our properties is typically between 18%-24% annualized.

INVESTOR COMMUNICATIONS AND REPORTING

We will hold regular conference/webinar calls to update investors on the property status and financials. We have a monthly Investor call for the first four months after we close on a property and quarterly web/teleconference calls each quarter after that. We send out executive summaries and financial reports every three months. We are very approachable to our investors. Our track record and knowledge keep our investors returning to invest more money in our new acquisitions.

ANNUAL REPORT FOR TAX PURPOSES

Members receive annual reports, including a K-1, containing all information necessary to complete their individual tax returns.

Investing in commercial real estate and rotating appreciation every 3-5 years into properties in new, emerging markets is a proven strategy for compounding wealth. The objective is to optimize accrued equity by selling each property at the optimum time and putting the equity realized on the sale to work in the next emerging market. The emerging-market real estate investing strategy requires monitoring of market cycles.

Inexperienced investors often miss the selling window by leaving the capital to stagnate in softening markets. Allowing an investment to persist in an area suffering from rising unemployment and oversupply can be costly for investors.

Many investors prefer the opportunities and advantages of participating in large, professionally managed properties versus individual ownership of smaller properties. Our experience in multifamily investment can help insulate investors from the pitfalls of managing tenants on their own.
